Bankruptcy and Creditors’ Rights

Our professionals have represented companies in every facet of bankruptcy, including pre-bankruptcy planning, bankruptcy filing, plan confirmation, and sale approval. A.M. Saccullo Legal also represents creditors, creditor committees, secured lenders, asset purchasers, and equity committees. A.M. Saccullo Legal has a wealth of knowledge and experience in bankruptcy litigation, including prosecuting and defending adversary proceedings seeking the return of potentially preferential transfers and/or fraudulent transfers. Creditors ask for our representation in seeking relief from the automatic stay, filing and prosecuting claims, and representing parties to executory contracts. A.M. Saccullo Legal also recovers excess collateral for debtors and their successors.

Out-of-Court Workouts
The filing of a bankruptcy petition under the United States Bankruptcy Code affords a broad scope of remedies to assist financially distressed companies. However, a bankruptcy petition is not always the most cost-effective solution for a company going through financial difficulties. In many instances, an out-of-court workout or wind-down is far more cost-effective and closely tailored to the relief that a company needs. The professionals at A. M. Saccullo Legal are experienced in out-of-court solutions to financial distress.
Litigation
The professionals at A. M. Saccullo Legal are experienced litigators in nearly all Delaware courts and in federal courts throughout the U.S. We regularly brief motions and coordinate the discovery process while staying mindful of overall client cost and likely outcome. A. M. Saccullo Legal is experienced with suretyship and contract litigation as well. We frequently litigate and resolve causes of action based in personal guaranties and over-collateralized letters of credit.
Environmental
Tom Kovach’s practice in environmental law allows A. M. Saccullo Legal to represent a wide array of clients in environmental matters. Tom is experienced in representing purchasers of property in the Brownsfield program, responsible parties and property owners in remediation activities with the Delaware Department of Natural Resources and Environmental Control, and parties in administrative actions and litigation matters.
Mediation
With the ever-increasing complexity and expense of litigation, mediation (whether voluntary, or Court-imposed) is becoming a popular mechanism that parties are using to attempt to resolve disputes in a consensual, and cost-effective manner. At A.M. Saccullo Legal, our mediation appointments provide an opportunity for our professionals to attempt to foster a consensual resolution through a process that is cost-effective and professional. The knowledge and experience of our professionals is an asset to assist in dispute resolution, and like all of our engagements, our aim in mediation is to assist parties as efficiently as possible.

Anthony Saccullo and Tom Kovach are trained and certified mediators for the Superior Court for the State of Delaware. Anthony is also an approved mediator for the United States Bankruptcy Court for the District of Delaware. Anthony and Tom also serve as volunteer mediators in Delaware’s Residential Foreclosure Mediation Program.

Experience

At A.M. Saccullo Legal, Meg focuses her practice in secured transactions, asset recovery, and federal court litigation across the country.

Meg began her career in corporate insolvency representing debtors, creditors’ committees and bankruptcy trustees.  Meg later focused her practice on creditors’ rights and out-of-court workouts.  After litigating for the Illinois Attorney General’s Office, Meg has returned to commercial litigation.

Meg served as a Volo editor for the American Bankruptcy Institute and has edited a published compilation of the works of Patrick Branwell Brontë sold at the Brontë Parsonage Museum.  While in law school, the Penn State International Law Review published her article, Italy’s Family Values: Embracing the Evolution of Family to Save the Population.

Community Involvement

Meg is a presenter for C.A.R.E. (Credit Abuse Resistance Education) and served on the Board of Directors of Rockford Dance Company.  Meg previously served as a volunteer attorney for Prairie State Legal Services and was a literacy tutor for Literacy Volunteers Serving Adults.  Meg has also helped small business farmers as the Farm Finance Coordinator at Angelic Organics Learning Center.

Teaching Experience

Meg taught Rhetoric and Composition and Practical Writing at Northern Illinois University.

Mark excels in tailoring a legal strategy which will achieve the best outcome in an efficient and effective manner.

Experience

Mark represents parties with an extensive variety of interests, including creditors’ committees, asset purchasers, landlords and secured and unsecured creditors. He has extensive experience representing creditors’ committees holding tort claims as well as serving as outside general counsel to settlement trusts.

Prior to concentrating his practice on bankruptcy, insolvency and trust matters, Mark gained extensive experience in federal and state court litigation through trial, including handling hundreds of depositions, arbitrations and mediations.

Tom crafts collaborative solutions to complex problems. Tom can bring even the most recalcitrant parties to the negotiating table.

Experience
Tom practices in the areas of commercial and corporate litigation, intellectual property litigation, and environmental law. His environmental work focuses on Brownfields transactions, compliance, administrative issues and litigation. Tom has also been selected by the Delaware Department of Justice to serve as special litigation counsel for the investigation and resolution of significant environmental law violations. Many of Tom’s prior cases have involved the resolution of highly technical or complex legal issues where his engineering background is particularly beneficial. Before attending law school, Tom worked as an environmental enforcement officer for the United States Environmental Protection Agency in Philadelphia.

Tom is also a highly experienced mediator. Tom has mediated hundreds of cases for the Delaware Residential Foreclosure Mediation Program.

Tom is a past chair of both the litigation section and environmental section of the Delaware State Bar Association, and he has served as an officer of the intellectual property section. Tom has served as finance chair on Delaware’s Brownfields Advisory Committee and participated in environmental committees of the Delaware State Chamber of Commerce and Delaware’s Committee of 100.

Tom has authored materials and lectured on various topics in environmental law.
Community Involvement
Tom formerly served as the President of the New Castle County Council, and a Representative in the Delaware State House of Representatives. Tom is an active member of the Federal Civil Panel for the District of Delaware. He has also served as the attorney adviser to Brandywine High School’s Mock Trial team for many years, and he coaches youth soccer for the Concord Soccer Association.

Experience
Anthony is the founding member of A. M. Saccullo Legal. For nearly two decades, Anthony has practiced law in Wilmington, Delaware focusing in the areas of bankruptcy and creditors’ rights, and corporate and commercial litigation. Throughout his career, Anthony has represented entities in every facet of bankruptcy from pre-bankruptcy planning though plan confirmation. He has also represented creditors’ committees, equity-holder committees, secured lenders, landlords and other creditors in bankruptcy. Anthony has been engaged by liquidating agents, chapter 7 trustees, chapter 11 trustees, and other post-confirmation entities formed to administer, liquidate, and distribute estate assets.

Anthony has also directed a diverse array of corporate and commercial cases from commercial contract disputes, to complex, multi-party, multi-jurisdictional litigation. Anthony has also advised Boards of Directors and Special Committee of Board Members through material transactions, reorganization planning and bankruptcy.

Doug is a dynamic senior attorney with over thirty-four years of diverse business and legal experience. He has a proven adeptness at balancing competing priorities and successfully resolving urgent and crisis situations arising in the corporate environment by using a practical, results-focused approach based on developing an understanding of the interests and motivations of key constituents, managing their expectations through clear communications, and building consensus by inspiring others to focus their efforts on driving the process to deliver results.

Experience

With A.M. Saccullo Legal, Doug focuses on corporate and commercial drafting and negotiations in transactional situations, either in bankruptcy cases or in the ordinary course of a business’s operations.

Doug began his legal career at Skadden, Arps, Slate, Meagher & Flom LLP, practicing in both the Corporate Restructuring and Banking & Institutional Investing practice groups. He also served as General Counsel to a hedge fund and also was a Senior Counsel in house at Mellon Financial Corporation, and its successor entity, The Bank of New York Mellon Corporation.

In addition to his legal experience, Doug also has extensive business expertise in finance and operations and has previously served as both Chief Restructuring Officer and Chief Investment Officer. Doug also has worked as a consultant to several liquidating trusts in the context of closing out the final stages of chapter 11 estates.

While in law school, Doug served as the sole research assistant to Professors Helen H. Bender and Joseph M. Perrillo as they assembled the Third Edition of “Cases and Problems on Contracts” published by West Group, 2000.

Teaching Experience

Doug returned to his alma mater, Columbia University, where he was an Adjunct Professor in the Management Department and taught “Turnaround Management” in the Business School to MBA candidates from 2016 through 2019.
